These Terms and Conditions form a legally binding agreement between you and Peham (Private) Limited for use of the Car Business Pro Service. By creating an account or using the Service, you agree to these Terms, our Privacy Policy and our Refund and Cancellation Policy.
Operated by: Peham (Private) Limited (“Peham,” “Company,” “we,” “us,” or “our”), a company incorporated in Pakistan, having its registered office at G8 Plaza, Shaheen Commercial, Phase 1, Jinnah Garden, Islamabad, Pakistan.
Product: Car Business Pro, a cloud-based vehicle inventory, purchase cost, sales, tax calculation and reporting software-as-a-service for car dealers, traders and exporters, available at carbusinesspro.com and my.carbusinesspro.com (the “Service” or “Software”).
1. Acceptance of Terms
1.1 These Terms and Conditions (“Terms,” “Agreement”) constitute a legally binding agreement between you, the individual or business entity registering for or using the Service (“you,” “Customer,” or “User”), and Peham.
1.2 By creating an account, accessing, or using the Service in any way, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Refund and Cancellation Policy, and any Order Form or subscription plan referencing these Terms. If you do not agree, you must not access or use the Service.
1.3 If you are entering into this Agreement on behalf of a company, partnership, or other legal entity, you represent that you have the authority to bind that entity, and “you” and “Customer” refer to that entity.
1.4 Our order process is conducted by our online reseller Paddle.com. Paddle.com Market Limited (“Paddle”) is the Merchant of Record for all our orders. Paddle provides all customer service inquiries relating to payment and handles returns. Paddle’s own buyer terms govern the payment transaction itself; these Terms govern your use of the Software.
2. Definitions
- “Customer Data” means all data, records, vehicle details (including chassis numbers, auction and purchase records, parts, freight, recycle fee and other cost entries), sales and export transactions, invoices, payments, customer lists, tax data, documents and other content that you or your Authorized Users input, upload, generate, or store within the Service.
- “Authorized User” means any employee, contractor, or agent of Customer (including Admin and Staff roles) who is permitted by Customer to access the Service under Customer’s account.
- “Portal User” means any customer of Customer whom Customer invites to view invoices, payments or transaction history through the Service’s customer portal.
- “Government Authority” means any tax authority, customs authority, vehicle registration or deregistration authority, export or import regulator, law-enforcement body or other regulatory body in any jurisdiction.
- “Applicable Laws” means all laws, regulations and rules of any jurisdiction in which Customer operates or to or from which Customer buys, sells, imports or exports vehicles, including consumption tax, sales tax, customs, export control, anti-money-laundering, record-keeping and data protection laws.
3. Nature of the Service: Tool, Not Advisor
3.1 Car Business Pro is a general-purpose business management tool. It provides functionality for recording vehicle purchases and costs, tracking inventory status, recording domestic and export sales, calculating taxes (including consumption tax) based on rates and settings you configure, managing documents, and generating reports.
3.2 Car Business Pro is not a tax advisor, accountant, customs broker, legal advisor, or compliance consultant, and nothing in the Service, its outputs, its documentation, or any communication from Peham constitutes tax, customs, legal, financial, or regulatory advice. Tax calculations and “government ready” or fiscal reports are provided as a technical convenience only. Customer remains solely responsible for determining which taxes, duties and fees apply to its business and transactions, at what rate, and how they must be reported.
3.3 Peham does not verify, audit, or certify that any Customer’s use of the Service results in compliance with Applicable Laws. Compliance is the Customer’s independent obligation.
4. Account Registration and Eligibility
4.1 You must provide accurate, current, and complete information when registering, including your business name, address, and contact information, and must keep this information updated.
4.2 You are solely responsible for maintaining the confidentiality of your login credentials and those of your Authorized Users, and for all activity under your account. Notify us immediately at support@carbusinesspro.com of any suspected unauthorized access.
4.3 You must be at least 18 years of age and legally capable of entering into binding contracts to use the Service. The Service is intended for business use only.
5. License Grant and Restrictions
5.1 Subject to your compliance with this Agreement and payment of applicable fees, Peham grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service solely for your own internal business operations during the term of your subscription, within the limits of your plan (for example, number of vehicles per year and number of staff accounts).
5.2 The Service is licensed, not sold. Peham and its licensors retain all right, title, and interest in and to the Service, including all software, source code, design, trademarks (“Car Business Pro” and associated logos), and documentation.
5.3 You shall not, and shall not permit any third party to:
- reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service;
- copy, resell, sublicense, rent, lease, or distribute the Service to any third party without Peham’s prior written consent;
- use the Service to build a competing product;
- remove or obscure any proprietary notices;
- use the Service in any manner that violates Applicable Laws, including: (i) generating invoices, sales records or reports that misstate the actual price, cost, quantity, tax amount, or nature of a transaction; (ii) suppressing, deleting, or falsifying purchase, sales, inventory, or tax records for the purpose of evading tax, duty, or reporting obligations; (iii) recording fictitious vehicles, transactions or invoices, or under- or over-invoicing vehicles for export or import; (iv) dealing in stolen vehicles or vehicles with falsified chassis numbers or documents; or (v) money laundering, sanctions evasion, tax fraud, or facilitation of any other criminal offence;
- use the Service to process, store, or transmit any unlawful, defamatory, or infringing content; or
- interfere with or disrupt the integrity or performance of the Service, including through unauthorized API calls, scraping, load testing, or security probing without prior written consent.
5.4 Peham reserves the right, but has no obligation, to monitor use of the Service for suspected violations of Section 5.3, and to suspend or terminate accounts reasonably suspected of such violations under Section 15, without liability to Customer.
6. Customer Data: Ownership, Accuracy, and Sole Responsibility
6.1 Ownership. As between the parties, Customer owns all Customer Data. Peham claims no ownership over the business, financial, or transactional data you input.
6.2 Accuracy is Customer’s sole responsibility. Car Business Pro records, calculates, and reports based entirely on the data, costs, prices, exchange rates, tax rates and configurations that Customer or its Authorized Users input into the Service. Peham does not independently verify the accuracy, completeness, or legality of any Customer Data. You are solely and exclusively responsible for:
- ensuring that all purchase, cost, sales, export, inventory, and tax data entered into the Service is true, accurate, and complete;
- correctly configuring applicable tax rates, exemptions, and domestic or export treatment for each transaction;
- reconciling Service-generated reports against your actual books of account and official documents before relying on them for any statutory filing, customs declaration, or tax return;
- maintaining your own backups and statutory records as required by Applicable Laws, independent of the Service; and
- determining your registration, reporting and filing obligations with any Government Authority, and meeting them.
6.3 Any report, invoice, tax computation, or record generated by the Service is provided on an “as configured, as entered” basis and reflects only the inputs supplied by Customer. It is not, and must not be treated as, a certification of tax correctness or legal compliance.
6.4 Where Customer invites Portal Users, Customer is responsible for the information it makes visible to them and for having a lawful basis to share it.
7. Government Audits, Investigations, and Regulatory Action
7.1 No regulatory liability accepted by Peham. Peham provides software tools only. Peham is not a party to, and assumes no responsibility, liability, or obligation in connection with:
- any audit, inspection, investigation, notice, or enforcement action initiated by any Government Authority against Customer;
- any penalty, additional tax or duty, surcharge, fine, seizure, prosecution, or other consequence arising from Customer’s use (or misuse) of the Service, incorrect data entry, misconfiguration, or non-compliance with Applicable Laws;
- any discrepancy between records maintained in the Service and records required to be maintained, filed, or disclosed under Applicable Laws; or
- Customer’s failure to register for, collect, or pay any tax, duty or fee where required.
7.2 Customer sole responsibility for compliance. Customer, and not Peham or Car Business Pro, is the person or entity conducting business, buying, selling and exporting vehicles, issuing invoices, collecting tax where applicable, and filing statutory returns and declarations. Customer bears sole responsibility and liability for its compliance with Applicable Laws and for the accuracy and legality of every record processed through the Service.
7.3 Cooperation without assumption of liability. If Peham receives a lawful order or request from a Government Authority relating to a specific Customer account, Peham may, where legally required, provide account-level information in response to valid legal process, without this constituting any admission of responsibility for Customer’s business conduct. Peham will, where legally permitted, notify the affected Customer of such a request.
7.4 No obligation to detect non-compliance. Peham has no obligation to monitor, flag, audit, or report suspected non-compliant use of the Service by any Customer, except where required by Applicable Law.
8. Third-Party Services and Integrations
8.1 The Service may offer optional integrations with third-party systems such as email providers, file storage, payment providers or other services (“Third-Party Systems”). These are provided for Customer’s convenience and are enabled only at Customer’s election.
8.2 Peham is not responsible for the availability, accuracy, downtime, policy changes, or output of any Third-Party System, and does not guarantee uninterrupted connectivity with them.
8.3 Exchange rates, tax rates or other reference values shown in the Service, where provided, are for convenience only and Customer must verify them before relying on them.
9. Fees, Billing and Free Trial
9.1 Fees for the Service are as set out on the pricing page or in your applicable Order Form. Subscriptions are billed in advance on a recurring basis (for example, monthly) and renew automatically until cancelled.
9.2 Payments are processed by Paddle as our Merchant of Record. Paddle may add applicable sales tax, VAT or GST to your purchase based on your location, and issues your invoice and receipt.
9.3 Where a free trial is offered, its length and included features are shown at sign-up. You will not be charged unless you choose a paid plan.
9.4 Cancellations and refunds are governed by our Refund and Cancellation Policy.
9.5 Subscription fees are separate from, and do not include, any taxes Customer owes on its own sales of vehicles, which are entirely Customer’s responsibility.
9.6 Non-payment may result in suspension of access under Section 15. We may change our prices by giving at least 30 days’ notice before the change applies to your next billing period.
10. Intellectual Property
10.1 All intellectual property rights in the Service, including software, UI/UX, trademarks, and documentation, are and remain the exclusive property of Peham (Private) Limited or its licensors.
10.2 Feedback, suggestions, or feature requests submitted by Customer may be used by Peham without restriction or compensation.
11. Confidentiality
11.1 Each party agrees to protect the other’s confidential information with at least reasonable care and to use it solely to perform its obligations under this Agreement.
11.2 This obligation does not apply to information that is public, independently developed, rightfully received from a third party, or required to be disclosed by law (subject to prior notice where legally permitted).
12. Disclaimer of Warranties
12.1 THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SERVICE WILL RESULT IN TAX, CUSTOMS OR REGULATORY COMPLIANCE.
12.2 Peham does not warrant that the Service will be uninterrupted, error-free, or secure against all threats.
12.3 Customer assumes all risk arising from its use of the Service, including risks of data entry error, misconfiguration, business interruption, or reliance on Service-generated reports and calculations.
13. Limitation of Liability
13.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PEHAM (PRIVATE) LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, OR ANY FINES, PENALTIES, ADDITIONAL TAX OR DUTY, SURCHARGES, LEGAL COSTS, OR OTHER LIABILITY IMPOSED ON CUSTOMER BY ANY GOVERNMENT AUTHORITY, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE.
13.2 PEHAM’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY CUSTOMER FOR THE SERVICE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
13.3 The limitations in this Section do not apply to Customer’s payment obligations, either party’s indemnification obligations, breach of confidentiality, or liability that cannot be excluded or limited under Applicable Law.
13.4 Nothing in this Agreement excludes or limits liability for fraud or willful misconduct, or any mandatory consumer rights that cannot be excluded by law.
14. Indemnification
14.1 By Customer. Customer shall defend, indemnify, and hold harmless Peham (Private) Limited, its directors, officers, employees, and agents from all claims, actions, investigations, audits, fines, penalties, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:
- Customer’s use or misuse of the Service, including inaccurate, incomplete, or fraudulent data entry;
- Customer’s violation of Applicable Laws, including tax or duty evasion, customs fraud, or fictitious invoicing;
- any audit, investigation, or enforcement action by any Government Authority relating to Customer’s business or its records in the Service;
- Customer’s breach of this Agreement; or
- any claim brought by Customer’s own customers, Portal Users, suppliers, employees, or Authorized Users arising from Customer’s business.
14.2 This obligation survives termination of this Agreement.
14.3 By Peham (limited). Peham shall indemnify Customer against third-party claims that the unmodified Service directly infringes a third party’s registered intellectual property rights, subject to the liability cap in Section 13.2 and Customer promptly notifying Peham and cooperating in the defense.
15. Suspension and Termination
15.1 You may cancel your subscription at any time as described in our Refund and Cancellation Policy. Either party may terminate this Agreement immediately if the other party materially breaches it and fails to cure within 15 days of written notice.
15.2 Peham may immediately suspend or terminate Customer’s access, without liability, if: (a) Customer fails to pay fees when due; (b) Peham reasonably believes Customer is using the Service in violation of Section 5.3; (c) Peham receives a valid legal order requiring suspension; or (d) continued provision of the Service would expose Peham to legal or regulatory risk.
15.3 Upon termination, Customer’s right to access the Service ceases. Customer may request an export of Customer Data within 30 days of termination, after which Peham may delete such data in line with the Privacy Policy. Sections 6, 7, 10 through 14, and 17 through 19 survive termination.
16. Data Security and Backup
16.1 Peham implements commercially reasonable technical and organizational security measures to protect the Service. Details are set out in the Privacy Policy.
16.2 Customer is solely responsible for maintaining independent backups of Customer Data sufficient to meet its own statutory record-keeping obligations. Any in-Service backup or export feature is a convenience and not a substitute for Customer’s own records.
17. Force Majeure
Neither party shall be liable for delay or failure to perform any obligation (except payment obligations) due to causes beyond its reasonable control, including acts of God, internet or power outages, government action, war, civil unrest, or failure of third-party infrastructure providers.
18. Governing Law and Dispute Resolution
18.1 This Agreement is governed by the laws of the Islamic Republic of Pakistan, without regard to conflict-of-law principles, except where mandatory consumer protection laws of your country of residence apply.
18.2 The parties shall first attempt to resolve any dispute through good-faith negotiation. Failing resolution within 30 days, the dispute shall be subject to the exclusive jurisdiction of the courts of Islamabad, Pakistan.
19. General Provisions
19.1 Entire Agreement. This Agreement, together with the Privacy Policy, the Refund and Cancellation Policy and any Order Form, is the entire agreement between the parties and supersedes all prior understandings.
19.2 Amendments. Peham may update these Terms by posting a revised version on carbusinesspro.com with an updated “Last updated” date. Material changes will be notified by email or in-Service notice at least 15 days before taking effect. Continued use after the effective date constitutes acceptance.
19.3 Assignment. Customer may not assign this Agreement without Peham’s prior written consent. Peham may assign it in connection with a merger, acquisition, or sale of assets.
19.4 Severability. If any provision is held unenforceable, the remaining provisions remain in full force and the unenforceable provision shall be modified to the minimum extent necessary.
19.5 No Waiver. Failure to enforce any provision is not a waiver of that or any other provision.
19.6 Notices. Legal notices to Peham shall be sent to support@carbusinesspro.com or to the registered office above. Notices to Customer shall be sent to the email address on file.
19.7 Relationship of Parties. Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship between the parties.
